1. About these terms
These Terms of Service ("Terms") govern your access to and use of Rellay, a social media publishing platform operated by Rellay Pty Ltd (ABN pending) ("we", "us", or "Rellay"), based in Australia.
By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use Rellay.

2. Eligibility
Rellay is a business tool intended for use by marketing agencies and their staff. You must be at least 18 years old and have the authority to bind your agency to these Terms. By using Rellay, you represent that you meet these requirements.
3. Your account
You are responsible for maintaining the security of your account credentials. Do not share your password or allow unauthorised access to your account. You are responsible for all activity that occurs under your account.
Notify us immediately at info@rellay.com.au if you become aware of any unauthorised use of your account.
4. Acceptable use
You agree not to use Rellay to:
- Publish content that is unlawful, defamatory, harassing, or fraudulent
- Violate the rights of any third party, including intellectual property rights
- Publish content that violates Meta's Platform Policies or Community Standards
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Use automated means to access the platform in a manner that exceeds normal usage
- Resell, sublicense, or otherwise commercialise the platform without our written consent
We reserve the right to suspend or terminate accounts that violate these terms.
5. Meta platform integration
Rellay connects to the Meta Graph API to publish content and retrieve analytics on your behalf. By connecting a Meta account, you authorise Rellay to act as an intermediary between your agency and Meta's platform.
You remain responsible for ensuring all content you publish through Rellay complies with Meta's terms, policies, and applicable laws. Rellay is not responsible for content you publish, nor for any enforcement actions Meta takes against your Pages or accounts.
You can revoke Rellay's access to your Meta accounts at any time through your Facebook Business Manager or account settings. Revoking access will prevent Rellay from publishing to or retrieving data from those accounts.
6. Content ownership
You retain ownership of all content you create, upload, or publish through Rellay. By using the platform, you grant Rellay a limited licence to store, process, and transmit your content solely to provide the services you have requested.
We do not claim ownership of your content and will not use it for any purpose other than operating the platform.
7. Subscription and payment
Access to Rellay requires a paid subscription. Pricing and plan details are displayed within the platform. Subscriptions are billed in advance on a monthly or annual basis.
All fees are in Australian dollars (AUD) unless otherwise stated. By subscribing, you authorise us to charge your payment method on a recurring basis. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
We reserve the right to update pricing with 30 days' notice to active subscribers.
8. Service availability
We aim to provide reliable, uninterrupted service but do not guarantee 100% uptime. The platform may be temporarily unavailable for maintenance, updates, or reasons outside our control (including Meta API outages).
We will endeavour to notify users of planned maintenance in advance.
9. Limitation of liability
To the maximum extent permitted by Australian law, Rellay's total liability for any claim arising from your use of the platform is limited to the fees you paid in the three months preceding the claim.
We are not liable for indirect, incidental, or consequential losses, including lost revenue, lost data, or reputational harm, even if we have been advised of the possibility of such losses.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the Australian Consumer Law.
10. Termination
You may close your account at any time by contacting us at info@rellay.com.au.
We may suspend or terminate your access if you breach these Terms, fail to pay outstanding fees, or if we are required to do so by law. We will endeavour to provide reasonable notice before termination except where immediate action is required.
Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
12. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date above. Your continued use of Rellay after the effective date constitutes acceptance of the updated Terms.
